These Terms form an agreement between you and Powerlab Inc. ("Powerlab," "we," "us," or "our"). By accessing or using our websites, applications, and related services (collectively, the "Service"), you agree to these Terms. If you use the Service for an organization, you represent that you have authority to bind it. A signed order form or enterprise agreement controls to the extent it expressly conflicts with these Terms.
1. The Service
The Trade Lab provides AI-assisted trade-compliance tools that may include product classification, tariff and landed-cost estimates, document drafting, customs research, and workspace collaboration. Features and data sources may change as the Service evolves.
2. Accounts and eligibility
You must be at least 18 and able to form a binding contract. You agree to provide accurate account information, protect your credentials, and promptly notify us of suspected unauthorized access. You are responsible for activity performed through your account except to the extent it results from our breach of these Terms or failure to use reasonable security measures.
3. Acceptable use
You may not:
- use the Service unlawfully or infringe another person's rights;
- attempt to gain unauthorized access to accounts, data, or systems;
- interfere with, overload, probe, or circumvent security controls;
- upload malicious code or content you are not authorized to use; or
- reverse engineer or extract source code except to the extent that restriction is prohibited by law.
4. Your content
You retain ownership of data and content you submit ("Your Content"). You grant us a limited right to host, copy, transmit, display, and process Your Content as needed to provide, secure, maintain, and support the Service, comply with law, and carry out your instructions. You are responsible for having the rights and permissions needed to submit Your Content.
5. AI output and professional advice
AI-generated output may be inaccurate, incomplete, or out of date. The Service does not provide legal, customs, tax, accounting, or other professional advice, and its output is not an official government determination. Review material results against current official sources and seek qualified advice or a binding ruling when appropriate. You are responsible for decisions you make using the Service, subject to rights that cannot be waived under applicable law.
6. Intellectual property
The Service, including its software, interfaces, branding, and company-provided content, is owned by Powerlab Inc. or its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service during the applicable service term in accordance with these Terms. No other rights are granted by implication.
7. Commercial terms
If you purchase a paid plan, the pricing, service term, usage limits, renewal, cancellation, and payment terms shown at checkout or in the applicable order form are part of your agreement with us. An order form may also identify additional support, security, or data-processing terms.
8. Third-party services
The Service may interoperate with or link to third-party products and sources. We do not control third-party services, and their terms and privacy notices govern your use of them. A link or integration does not guarantee the accuracy, availability, or continued operation of a third-party service.
9. Disclaimers
The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation. Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.
10. Limitation of liability
To the fullest extent permitted by law, Powerlab Inc. and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, business opportunity, or goodwill, arising from or related to the Service. Nothing in these Terms limits liability that cannot lawfully be limited.
11. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Powerlab Inc. from third-party claims arising from Your Content, your unlawful use of the Service, or your material violation of these Terms.
12. Termination
You may stop using the Service at any time, subject to any order-form commitments. We may suspend or terminate access when reasonably necessary to address a material breach, security risk, unlawful conduct, nonpayment, or harm to the Service or others. Account closure and retention of information are handled in accordance with the applicable agreement and our Privacy Policy.
13. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Unless an applicable agreement or non-waivable law requires otherwise, disputes will be brought in the state or federal courts located in Delaware.
14. Changes and contact
We may update these Terms as the Service or legal requirements change. We will post revised Terms with an updated date and provide additional notice before a material change takes effect when required by law. Continued use after the effective date of revised Terms constitutes acceptance to the extent permitted by law.
